PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE PARTICIPATING IN ANY AUCTION CONDUCTED BY SCIENCE LIQUIDATION. BY REGISTERING FOR OR PARTICIPATING IN AN AUCTION, YOU AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY.


1. No Warranty — AS IS / Where IS

All property offered at auction by Science Liquidation is sold strictly on an “AS IS, WHERE IS” basis, with no warranties of any kind, express or implied. Science Liquidation makes no representations or warranties regarding the condition, fitness for a particular purpose, merchantability, accuracy of descriptions, quantity, grade, weight, size, quality, or any other characteristic of any item offered for sale. Buyers are solely responsible for independently evaluating all items prior to bidding.

2. Registration

2.1 Eligibility. To register as a bidder, you must be at least eighteen (18) years of age.

2.2 Accurate Information. You agree to provide complete, accurate, and current information during registration. You are responsible for maintaining the accuracy of your account information at all times.

2.3 Credit Card Requirement. A valid credit card is required at the time of registration. Science Liquidation reserves the right to verify and pre-authorize your card prior to allowing participation in any auction.

2.4 Right to Reject. Science Liquidation reserves the right, in its sole and absolute discretion, to reject any registration application or to suspend or terminate any registered bidder’s account at any time, without notice and without liability.

2.5 Bidder Representations. By registering, each bidder represents and warrants that: (a) they have full legal authority to bid; (b) they have independently investigated and evaluated all items prior to placing any bid; and (c) they are not relying on any representations made by Science Liquidation in deciding to bid.

3. Deposits

3.1 Science Liquidation may require a deposit at its discretion. 3.2 Bidders authorize Science Liquidation to charge their card on file for any deposit or purchase. 3.3 Winning bidders must contact Science Liquidation within 48 hours of auction close. 3.4 Unsuccessful bidder deposits refunded within 2 business days.

4. Invoices and Payment Instructions

Following auction conclusion, Science Liquidation will issue an invoice to each winning bidder reflecting the final bid price, buyer’s premium, taxes, and applicable charges. Bidders must review invoices promptly and contact info@scienceliquidation.com with disputes within 24 hours of receipt.

5. Payments

5.1 Due Date. Full payment is due by close of business on the next business day following auction conclusion. 5.2 Accepted Methods: cashier’s check, wire transfer, corporate check (subject to approval), or credit card. 5.3 Title does not pass to buyer until full payment in cleared funds is received by Science Liquidation.

6. Taxes

Buyers are solely responsible for all applicable sales, use, excise, and other taxes. A valid exemption certificate must be provided prior to purchase completion. Science Liquidation will not retroactively adjust invoices for exemptions not submitted in advance.

7. Buyer’s Premium

A buyer’s premium (percentage disclosed in auction listing materials) will be added to the final bid price. The buyer’s premium is earned by Science Liquidation upon auction conclusion and is non-refundable unless Science Liquidation cancels the sale.

8. Removal of Goods

8.1 Purchased items must be removed by the Removal Deadline specified in each listing. 8.2 ANY ITEMS NOT REMOVED BY THE REMOVAL DEADLINE WILL BE DEEMED ABANDONED. Science Liquidation may dispose of abandoned items without liability. 8.3 Items of 100+ lbs require a licensed and insured rigger carrying minimum $2,000,000 in general liability coverage. 8.4 Buyer indemnifies Science Liquidation against all removal-related claims and damages. 8.5 Risk of loss passes to buyer upon receipt of full payment.

9. Default

9.1 ALL BIDS ARE FINAL AND BINDING. 9.2 Buyer is in default for failure to pay, failure to remove, returned payments, or other non-compliance. 9.3 Upon default, Science Liquidation retains all deposits and buyer’s premiums, may resell items, and pursues all available remedies. 9.4 No returns after removal. All sales are final.

10. Damages and Force Majeure

Science Liquidation shall not be liable for failure or delay caused by events beyond its reasonable control, including acts of God, war, terrorism, government action, strikes, natural disasters, or pandemic.

11. Changes and Modifications

Science Liquidation reserves the right to modify, postpone, cancel, or withdraw any auction at any time without prior notice. Auctioneer’s rulings take precedence over written terms. If a sale is cancelled, buyer’s sole remedy is a refund of the purchase price paid.

12. Limitation of Liability

12.1 Science Liquidation’s total liability shall not exceed the actual purchase price paid for the item giving rise to the claim. 12.2 IN NO EVENT SHALL SCIENCE LIQUIDATION BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES.

13. Minimum and Reserve Prices

Science Liquidation reserves the right to establish undisclosed minimum bids and reserve prices for any lot. Science Liquidation may bid at auction on its own behalf or on behalf of a consignor up to the reserve price.

14. Absentee and Proxy Bids

Bidders may submit proxy bids authorizing Science Liquidation to bid up to a specified maximum. Winning proxy bidders are notified by invoice. Science Liquidation is not liable for failure to execute proxy bids as instructed.

15. Bidding Procedures

Science Liquidation controls all bidding increments and procedures and may accept or reject any bid, reopen bidding, or sell lots as entireties or individually. The auctioneer’s decision is final in all bidding matters.

16. Agency Relationship

When acting as agent for a consignor, Science Liquidation assumes no liability for the consignor’s acts, omissions, or representations. The consignor is solely responsible for description accuracy and property title.

17. Export Law Compliance

Buyers are solely responsible for compliance with all applicable export control laws and regulations, including EAR and ITAR. Science Liquidation makes no representations regarding the exportability of any item.

18. Auction Sites

Auction sites present safety risks. All persons entering auction sites do so at their own risk. Buyers waive all claims against Science Liquidation for injuries or losses sustained at any auction site.

19. Science Liquidation Rights and Remedies

Upon buyer default, Science Liquidation may retain all deposits and premiums, resell defaulted items, hold the defaulting buyer liable for any deficiency, and recover all costs including reasonable attorneys’ fees.

20. No Collusion

Bidders agree not to engage in collusive bidding, bid suppression, false registrations, or any scheme to manipulate auction results. Violators will be disqualified and barred from future auctions.

21. Indemnification

Buyer agrees to indemnify and hold harmless Science Liquidation and its affiliates, officers, directors, employees, and agents from all claims, losses, damages, costs, and attorneys’ fees arising from buyer’s participation in any auction, use of services, or breach of these Terms.

22. Prohibited Uses

Users agree not to: (a) use services for unlawful purposes; (b) allow minors to participate; (c) send spam; (d) use automated bots without consent; (e) engage in DDoS attacks; (f) attempt unauthorized access to systems; or (g) engage in harmful or disruptive conduct.

23. Arbitration

23.1 All disputes shall be resolved by binding arbitration. 23.2 Arbitration conducted in Hennepin County, Minnesota per AAA Commercial Arbitration Rules. 23.3 Three (3) arbitrators. 23.4 Award is final and binding. 23.5 Prevailing party recovers attorneys’ fees. 23.6 THE PARTIES WAIVE ALL RIGHTS TO A JURY TRIAL. 23.7 All disputes resolved on individual basis; class actions waived.

24. Time Limit on Claims

All claims must be commenced within one (1) year of accrual or are permanently barred.

25. Governing Law

These Terms are governed by the laws of the State of Minnesota. Subject to arbitration provisions, parties consent to jurisdiction in Hennepin County, Minnesota.
